General Terms of Sale (OWS)
Effective from 1 May 2024. This document sets out the terms for entering into and performing sales contracts with ARSO Steel Sp. z o. o. The full version is available for download as a PDF.
This is an English translation provided for convenience only. The Polish-language version of these Terms of Sale, available at arsosteel.com/ows, is the legally binding version and prevails in case of any discrepancy.

- These General Terms of Sale ("OWS") set out the rules for entering into and performing sales contracts by ARSO Steel Sp. z o. o. (the "Seller").
- Every order placed by the Buyer constitutes full acceptance of these OWS.
- The OWS take precedence over the Buyer's commercial terms, unless the Parties agree otherwise in writing.
§2. Definitions
- Seller: ARSO Steel Sp. z o. o.
- Buyer: the entity purchasing the Goods
- Goods: steel mill products, including mill-surplus and second-grade steel
- Order: a purchase offer submitted by the Buyer
§3. Conclusion of the contract
- The contract is concluded when the Seller confirms the order.
- The order should include: Goods specification, quantity and dimensions, delivery location and date, and the Buyer's details (tax ID, address, contact information).
- Changing or cancelling an order requires the Seller's consent.
- Delivery timelines are indicative.
§4. Delivery and risk
- Risk passes to the Buyer at the moment the Goods are released.
- Transport and unloading costs are borne by the Buyer (unless agreed otherwise).
- The Buyer must provide the technical conditions required to receive the Goods.
§5. Inspection and complaints
- The Buyer is required to inspect the Goods upon receipt.
- Complaints must be reported:
- obvious defects: within 2 days
- hidden defects: within 5 days of discovery (max. 90 days from delivery)
- Permissible tolerances:
- quantity: ±10–20%
- specification: ±5%
- The Seller is not liable for incorrect use of the Goods.
- Unfounded complaints are charged to the Buyer.
§6. Pricing and payment
- Prices are net prices plus VAT.
- Payment is deemed made once funds are received.
- The Seller reserves the right to change the price in the event of a significant change in production costs, raw material costs, or exchange rates, after notifying the Buyer in advance.
- Title to the Goods passes upon payment in full.
